Code of Ethics
This is the document that brings together all the principles and ethical values that guide Autogrill Italia S.p.A. and the Avolta Group in the way they are doing business.
Autogrill Italia S.p.A. aims to work in accordance with the principles of loyalty, legality and fairness, principles on which the Company’s success and growth have always been based.
The Code of Ethics represents the Company’s behavioural guideline, whose adherence is essential and of primary importance for the correct performance, reliability, reputation, image of the Avolta Group and customer satisfaction. These factors constitute the foundations for current and future development and for the prevention of offences.
The commitments described in the Code of Ethics are addressed to all those who interact with Autogrill Italia S.p.A.: customers, employees, consultants, suppliers, and stakeholders, who are equally called upon to protect and respect the image and integrity of the Group.

Our commitment against corruption
All the companies of the Avolta Group, their top management, the officers and all employees are firmly committed to carrying out their tasks with loyalty, fairness, transparency and honesty and in compliance with the laws. Ethical integrity and respect for the law are a steady and unconditional duty for all of us.
The Avolta Group is also continuously committed to having all its Stakeholders applying the rules of our Anti-Corruption Policy.
Whistleblowing
The Company, in compliance with the ethical principles by all its stakeholders, which inspire its work and in line with international best practice, has set up a system for managing reports of unlawful conduct or conduct contrary to ethical principles, known as “Whistleblowing”.

Principles
As part of the broader corporate policy and culture of ethics and social responsibility, in order to guarantee conditions of correctness and transparency in the conduct of business and corporate activities, Autogrill Italia S.p.A. and its subsidiary Nuova Sidap S.r.l. have adopted an Organisational Model that provides for policies and measures suitable for ensuring that business is carried out in compliance with the law and reducing risky situations.
The “Organisation, Management and Control Model” adopted is in line with the requirements of Legislative Decree 231 of 8 June 2001 and international best practice.
To whom it is addressed
It is addressed to all employees of the respective companies and to all those with whom the company interacts (customers, suppliers, partners, etc.) so that they follow correct and transparent behaviour in line with the ethical-social values that inspire the Company in achieving its objectives.
Structure of the Model
General Part
The General Section describes the contents of the Decree, recalling the types of crimes that determine the administrative liability of a legal entity, the possible sanctions and the conditions for exemption from liability, as well as the organisational and governance structure of the Company and the activities carried out for the construction, dissemination and updating of the Model.

The Special Section contains the individual “Protocols”, i.e. a set of rules and principles of conduct and control deemed suitable to govern each of the sensitive areas, for which a risk of the potential commission of the offences underlying administrative liability pursuant to Legislative Decree 231/2001 has been identified.
Control
Control is the responsibility of the Supervisory Body, which monitors the implementation of the Model and compliance with the prescriptions contained therein, verifying the consistency between the actual conduct and the Model, proposing the adoption of corrective measures and then initiating disciplinary proceedings against the persons concerned.
